OCIA Emergency Executive Session Minutes

November 18, 2021 @ 12:15 p.m.

In attendance:  Jeff Wilhoit, Junior Crafton and Gary Haupt.

Motion was made by Junior Crafton to go into Executive Session to deal with a board personnel issue.  Seconded by Gary Haupt.  Meeting was called to order by President Wilhoit at 12:15 p.m.

Karen Badley presented the board with documentation from the Taney County Recorder’s Office showing quick claim deeds on property previously owned by Board Members Jodie King and Chad Littler.  Karen was dismissed from the executive session.

Summary of Documents:

  1. Quit Claim Deed transferring Lot 9, Block 8, Ozarks Paradise Village from American Sportsman Realty Holdings, LLC to Chad Littler. Document was dated April 1, 2021 and recorded with Taney County on April 19, 2021.  This made Chad Littler eligible to be an Oakmont Board Member.
  2. Quit Claim Deed transferring Lot 9, Block 8, Ozarks Paradise Village from Chad Littler and Barbara Littler to American Sportsman Realty Holdings, LLC.  Document was dated August 7, 2021 and recorded with Taney County on October 4, 2021.  This made Chad Littler ineligible to be an Oakmont Board Member.
  3. Quit Claim Deed transferring Lots 22, 23, 24, and 25, Block 11, Ozarks Paradise Village from White Oak Ventures, LLC to Jodie King. Document was dated June 28, 2021 and recorded with Taney County on July 2, 2021.  This made Jodie King eligible to be an Oakmont Board Member.
  4. Quit Claim Deed transferring Lots 22, 23, 24, and 25, Block 11, Ozarks Paradise Village from Jodie King to White Oak Ventures, LLC. Document was dated June 29, 2021 and recorded with Taney County on October 4, 2021.  This made Jodie King ineligible to be an Oakmont Board Member.

It was determined that Chad Littler and Jodie King had been attending board meetings as board members when they were not eligible by bylaws to serve in that capacity.  President Wilhoit will contact the Oakmont Attorney, David Smith, for advice on how to proceed.  President Wilhoit will make contact with Chad Littler and Jodie King to advise them they do not meet the qualifications of a board member.

The board discussed the legality of meetings held with ineligible board members.  It was determined that there were enough votes by the remaining board on all motions to not jeopardize the meetings, but would consult our attorney for clarification.

The board discussed coming up with names of replacement board members before the December 9th meeting.

As there was no further business, Junior Crafton made a motion to adjourn the Executive Session.  Seconded by Gary Haupt.  Meeting adjourned at 12:45 p.m.
